Can a 25% minority acquisition qualify for BIV? Ownership, investment and active operation
BIV does not universally require purchasing an entire company. An acquisition resulting in at least 25% ownership can be considered under the requirements. However, that percentage is only one test: qualifying investment, an acceptable target and active operation remain necessary. Acquiring shares does not mean a passive dividend arrangement will satisfy the business and immigration requirements.
Keep three figures separate
Figure | Question it answers |
Whole-business valuation | What enterprise and rights were valued? |
Applicant's ownership proportion | What interest will the buyer actually hold? |
Applicant's qualifying investment | Does the eligible expenditure meet the chosen pathway's amount? |
A valuable company does not let a minority buyer count the full enterprise valuation as their own investment. The standard minimum of NZD 1 million or fast-track minimum of NZD 2 million must be checked alongside the minimum 25% ownership using the real transaction. Property, GST, fees and transaction costs are excluded from the investment amount; a larger all-inclusive headline price does not resolve that assessment.
The share records, sale agreement, payment and professional valuation should describe the same arrangement. Other buyers, different interests and existing shareholders need an accurate explanation from the legal and accounting professionals. Calling someone a partner in an advertisement does not establish identical rights for every party. An intended transfer remains incomplete until the actual transaction supports the claimed ownership.
Establish a genuine active role
Explain the work the applicant will perform: business decisions, budgets, staff, customers and coordination with existing management. This does not add a universal director-seat or voting-percentage requirement. It asks whether the actual contractual and operating arrangements support the active involvement proposed, instead of permitting only passive receipt of returns.
Have an appropriate lawyer explain the shareholder agreement, company arrangements and role alongside the real operating plan. An honorary management title offered by a seller is not evidence of work already performed. Keep authentic decisions, financial, business and employment records during operation. Site visits and retrospective descriptions should not replace evidence of continuing involvement.
Resolve cooperation and evidence access before committing
Identify existing owners and key managers, proposed responsibility changes and how legitimate access to required business evidence will work. Residence involves financial, solvency, employment and compliance evidence as well as the applicant's role. A sufficient ownership percentage alone does not solve a practical inability to obtain those records. The transaction professionals must explain actual rights; this article cannot promise another shareholder's cooperation.
Understand distributions, new capital, exit, sale and dispute arrangements before signing. An immigration objective does not guarantee a successful commercial relationship. The target's family-ownership restriction, specified previous immigration use and excluded-business rules still apply. A minority acquisition is not an exemption from target eligibility.
The approved proportion matters at residence
The residence requirements include retaining at least the ownership proportion originally approved. They are not simply a fresh minimum 25% test. If a higher proportion was approved, reducing it to 25% should not be assumed acceptable. Dilution, restructuring, transfers or financing may affect the position and require timely assessment against the holder's actual conditions.
Fast-track residents completing the total three-year operating requirement also have continuing ownership and other conditions. Presence, existing and additional employment, solvency and compliance require their own evidence. Keeping shares in one's name does not establish every obligation. Decide whether the minority structure supports a role the applicant can actually fulfil, rather than selecting a percentage in isolation.
