BIV fit-and-proper assessment: business history beyond available investment funds
BIV requires more than available investment funds. The principal applicant must satisfy fit-and-proper requirements alongside age, experience, English and the business conditions. BM 1 and BM 2 address businesses the person influences and relevant legal history, not only the enterprise proposed for purchase. Adequate capital does not replace that assessment.
Personal certificates do not explain every business
BM 2 addresses relevant immigration, employment and tax compliance, business-related convictions, dishonesty offences, business fraud and financial impropriety. A personal police certificate may be required evidence, but cannot independently establish every enterprise's compliance history. Present the actual background rather than selecting only its easiest period.
Significant influence over management and administration includes directors and senior managers, without being limited to one shareholding percentage. Later resignation, a changed title or offshore registration does not make earlier events irrelevant. Establish the real duties, dates and authority before assessing what occurred.
Evidence direction | Facts to explain |
Role and influence | Enterprise, period and actual management responsibility |
Compliance events | Official notices, proceedings and current status |
Legal outcomes | Applicable charges, convictions and decisions |
Subsequent handling | Genuine remediation, performance and official records |
Other eligibility | The separate funds, experience, age and remaining tests |
Investigation, charge and outcome are distinct
The New Zealand Business Investor Visa application form separately asks whether you have ever been investigated by the Serious Fraud Office or New Zealand Police for offences arising from business dealings. Being asked to disclose an investigation does not by itself mean an automatic decline; answer accurately. Under BM2.1, a relevant pending investigation or charge may lead to a deferral. If an investigation ends with no further action, or a case is resolved, processing continues under BM2. A private assurance is not an official outcome, and the word “investigation” alone does not determine every applicant’s eligibility.
Retain the issuing authority, complete documents, dates and genuine current position for suitable immigration and legal assessment. Concluded matters, unresolved proceedings and missing outcome evidence should be recorded separately. Translations must distinguish investigation, charges, conviction and discontinuance rather than changing the meaning for convenience.
Minor-breach provisions are conditional, not a universal cure
BM 3 permits specialist consideration of certain minor relevant-law non-compliance where the remaining approval requirements are met and the cause and consequences have been remedied. The applicant does not decide unilaterally that a breach is minor or sufficiently corrected. It is not a promise that fraud, every conviction or serious conduct can be resolved by paying money.
Remediation should explain the real problem and its actual handling with suitable evidence. A payment receipt, renamed company or new adviser does not automatically settle the assessment. Cooperate with legitimate enquiries and do not create a nonexistent clearance or suppress unfavourable material.
Bankruptcy and business failure have a separate five-year requirement
BD 2.1 also requires no involvement in bankruptcy or business failure within the five years before application. That should not be omitted from a general fit-and-proper description. The classification of an actual closure, sale, restructuring or other event needs its documents and appropriate assessment, not a universal label or an assurance that every old business problem is harmless.
Identify events and dates early to establish the evidence needed. Lawful capital and business suitability are separate questions; a qualifying acquisition does not repair a missing personal condition. Expenditure already incurred, family relocation plans and a fast transaction are not reasons to omit the background.
For preliminary assessment, list relevant current and former enterprises, real responsibilities and material events. Provide sensitive legal records for a defined purpose through appropriate channels. Individual conclusions require complete facts and current instructions. A private assessment, collected documents and a government approval remain different stages; none should be represented as the other.
