UK Expansion Worker Sponsor Licence: Is Registering a UK Company Enough?
Registering a UK company does not, by itself, meet the requirements for a UK Expansion Worker sponsor licence. Registration of an appropriate branch or subsidiary can establish a UK footprint. The overseas business must still address its qualifying corporate relationship, trading history and credible expansion plans. A certificate of incorporation is evidence for a particular requirement, rather than a substitute for the whole application.
Do you need both incorporation and an office lease?
Section 3.10 of the Home Office sponsor guidance, Appendix A, gives alternatives for showing the UK footprint. You can provide the Companies House reference or incorporation certificate for the overseas company's UK branch or subsidiary. Alternatively, you can provide evidence of purchased or leased UK business premises or dedicated office space, signed by the relevant parties. Give the UK business website address too, if it has one.
This does not mean every applicant must both incorporate and lease an office before applying. It also does not make any purchased address service acceptable automatically. Check what the registration or premises documents establish, which entity they concern, and whether they actually meet the stated requirement.
Organise evidence around four requirements
The evidence categories are the UK footprint, the qualifying link to the overseas business, the overseas trading presence and the planned UK expansion. Four categories do not mean four arbitrary documents. Additional requirements may apply to particular types of organisation, including regulated businesses.
Create an evidence index identifying the legal entity, relevant period and requirement supported by each item. Explain differences between trading names and registered company names. A shared brand or similar website cannot replace the corporate evidence.
A commercial partnership is not enough
Apply the route-specific ownership structures in paragraph GBM3.12. These include a UK business wholly owned by the overseas business or forming part of the same legal entity; an eligible non-trading holding-company arrangement; and a sister-company structure meeting the specified common immediate parent and director or control conditions. An ordinary cooperation agreement or joint venture does not replace these requirements.
Match the registration and shareholder records to a current group chart. Evidence that businesses are connected is not, on its own, a reason to disregard the precise ownership conditions for this route.
Incorporation age is different from trading history
The general requirement is at least three years of actual overseas trading. Appendix A normally requires company bank statements covering at least the preceding 12 months, certified accounts or annual reports covering three years, overseas registration and constitutional records, and the specified contract or advertising evidence. Accounts must be audited where local law requires this, with the accountant's confirmation required by the guidance.
There are specific arrangements for Australian and Japanese businesses. Where the relevant business relies on one year of evidence without establishing three years of trading, sponsorship is generally limited to one worker at a time. Specified listed businesses have separate evidential exceptions. Having Australian customers does not turn a business incorporated elsewhere into an Australian business qualifying for that exception.
Check whether UK trading has already started
The route is intended for businesses that are not already actively trading in the UK. Limited pre-trading activity is distinguished from a UK trading presence: the guidance gives the example of employing someone intended to become the Authorising Officer. Record actual activities, contracts and dates rather than deciding solely from the incorporation date or one revenue entry.
If UK trading has already begun, assess another suitable route and its conditions. Do not assume UK Expansion Worker remains appropriate simply because the business is relatively new.
Make the expansion plan specific
The Home Office expects a credible plan to establish UK trading within two years. Explain the reason for choosing the UK, business sector, overall investment, at least the first 12 months of projected operating costs, and proposed job titles, occupation codes and salaries. The UK expansion must be in the same type of business as the overseas operation, rather than a different new venture.
If third parties produce expansion evidence, including outsourced market research, Appendix A requires certified copies of the contract or agreement for that work. Documents not in English or Welsh need suitable certified translations. Prepare the group structure, trading records and UK budget before seeking document assistance from 卓越移民 Premiervisa Group. A sponsor licence and an individual employee's visa remain separate decisions.
